🚫 Vidyans does not intentionally collect sensitive personal data (GDPR Article 9).

By accessing or using any Vidyans Service, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Vidyans is a technology company that builds software products and platforms focused on quality enablement, engineering excellence, and organizational improvement.

Our Services may include:

• SaaS platforms (e.g. QEnabler)
• Web applications and dashboards
• Documentation, frameworks, and analytics
• Beta or experimental features

Some Services may be subject to additional product-specific terms, which will supplement (not replace) these Terms.

2. Eligibility & Authority

5.3 Data Protection Roles (GDPR)

For personal data submitted by customers and their users within the Service (“Customer Data”):

• The customer acts as Data Controller within the meaning of Article 4(7) GDPR.
• Vidyans acts as Data Processor within the meaning of Article 4(8) GDPR.

Vidyans processes Customer Data solely on documented instructions from the Customer and for the purpose of providing the Service.

For personal data relating to account management, billing, and direct customer relationships, Vidyans acts as Data Controller.

5.4 Data Processing Agreement (DPA)

A Data Processing Agreement (“DPA”) forms an integral part of these Terms and governs the processing of personal data by Vidyans on behalf of the Customer.

The DPA includes:

• Subject matter and duration of processing
• Nature and purpose of processing
• Types of personal data and categories of data subjects
• Security measures implemented
• Subprocessor framework
• International transfer safeguards
• Data breach notification procedures
• Data return and deletion upon termination

The DPA is made available upon request or incorporated by reference into the Customer’s subscription agreement.

6. Analytics, Insights & Disclaimer

Some Vidyans products provide:

• Metrics
• Scores
• Maturity levels
• Insights or recommendations

You acknowledge that:

• These outputs are indicative and contextual
• They do not constitute professional, legal, or managerial advice
• Final decisions and outcomes remain your responsibility

Vidyans does not guarantee business, quality, or performance results.

7. Intellectual Property

All rights to:

• Vidyans products and platforms
• Software, UI, design, branding, frameworks, and documentation

remain the exclusive property of Vidyans or its licensors. You may not copy, modify, distribute, or exploit any part of the Services without written permission.

8. Subscriptions, Trials & Billing

Some Services may be offered:

• Free of charge
• As time-limited trials
• Under paid subscription plans

Where applicable:

• Fees are billed according to the selected plan
• Fees are non-refundable unless required by law
• Vidyans may update pricing with reasonable prior notice

Marketplace Billing

If a Service is purchased via a third-party marketplace (e.g. AWS Marketplace), billing and payment are governed by that marketplace’s terms.

9. Availability & Changes

Vidyans aims to provide reliable Services but does not guarantee uninterrupted availability.

Unless explicitly agreed in a separate written Service Level Agreement (SLA), Vidyans does not guarantee specific uptime levels, response times, or service performance metrics.

Any performance metrics provided within the Service are indicative and do not constitute contractual guarantees.

We may:

• Modify or discontinue features
• Release new versions
• Add or remove Services

Material changes will be communicated reasonably in advance.

9.1 Security & Infrastructure Limitations

Vidyans implements commercially reasonable technical and organizational security measures. However:

• The Customer acknowledges that no system can be guaranteed 100% secure.
• Vidyans is not liable for security incidents resulting from Customer configuration, password management, or third-party integrations.
• Vidyans is not liable for outages, interruptions, or failures caused by cloud hosting providers, internet service providers, or force majeure events.
• The Customer remains responsible for maintaining the confidentiality of access credentials.

10. Suspension & Termination

You may stop using the Services at any time.

Vidyans may suspend or terminate access if:

• These Terms are violated
• The Services are misused
• Required by law or security reasons

Upon termination:

• Customer access to the Service ceases immediately.
• Customer Data will be retained for a maximum period of 30 days unless otherwise agreed.
• During this period, Customers may request data export.
• After the retention period, Customer Data will be securely deleted from active systems.
• Backup systems are overwritten within a maximum of 90 days according to standard infrastructure lifecycle policies.
• Upon written request, Vidyans may provide confirmation of deletion.

11. Security & Data Protection

Vidyans implements reasonable technical and organizational measures to protect data, in line with GDPR and industry best practices.

12. Limitation of Liability

To the maximum extent permitted by law:

• Services are provided “as is”
• Vidyans is not liable for indirect, incidental, or consequential damages
• Total liability is limited to the amounts paid by you in the previous 12 months
